1. Acceptance of Terms

These Terms of Use (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “User”) and Oxbow Holdings, Inc., doing business as Eggz (“Eggz,” “Company,” “we,” or “us”). By accessing or using our website located at https://www.myeggz.com (“Site”), mobile applications (“App”), and services (“Services”), you agree to these Terms, our Privacy Policy, and any additional terms applicable to specific features or services. If you do not agree, you must not access or use the Services.

If you are entering into these Terms on behalf of an entity, you represent that you are authorized to accept these Terms on its behalf.

PLEASE NOTE: THESE TERMS INCLUDE A MANDATORY ARBITRATION PROVISION AND CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS. READ SECTION 18 CAREFULLY.

2. Services Overview

Eggz is a personal investment platform with a social gifting component. Our Services allow users to:

Create and manage investment accounts
Receive monetary contributions from friends and family for specific events (e.g., birthdays)
Invest in U.S. securities through a brokerage account facilitated by Alpaca Securities LLC, a FINRA-registered broker-dealer and member of SIPC

3. Eligibility and Registration

You must be at least 18 years old, a U.S. resident, and legally able to enter into contracts. To access investment features, you must:

Create an account with Eggz
Complete identity verification via Alpaca, including submission of required KYC information
Agree to Alpaca’s customer agreements

You must provide accurate and complete information and keep it up to date. If we determine that information you provide is false or misleading, we reserve the right to suspend or terminate your account. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

Joining a waitlist does not constitute the opening of an account or formation of a customer relationship.

4. Revenue Model

Our revenue model includes:

A flat monthly subscription fee (currently $5)
A percentage-based AUM fee, which may be waived for users below certain investment thresholds

Details may be provided in separate disclosures or agreements.

5. Contributions and Gifting

Eggz enables friends and family to make contributions to a user’s account:

Contributions are treated as deposits into the investment account
Contributions are not refundable once invested
Users are solely responsible for understanding any tax implications of contributions received

6. ACH Returns and Negative Balances

ACH transfers may be returned or reversed for reasons including insufficient funds, closed accounts, stop payment requests, or claims of unauthorized transactions. Returns may occur automatically for up to 60 days after initiation, and reversal requests may be made for up to two years.

If a return occurs after funds have been credited to your Eggz balance or transferred from the Dwolla platform, your account may reflect a negative balance. You are solely responsible for resolving any negative balance.

Eggz may automatically deduct funds from your account balance, offset future contributions, or re-debit your linked payment method to cover the negative balance.
If your negative balance exceeds $25 or remains unresolved for more than 7 days, your account may be restricted from making new contributions or withdrawals until resolved.
If your negative balance exceeds $100 or remains unresolved for more than 30 days, Eggz may escalate the matter, including referral to a third-party collections agency or other lawful recovery actions.
You will be notified by email (primary method) and in-app message (secondary method) if a return results in a negative balance. Eggz will provide reminders and, if needed, a final notice before escalation.
Accounts with repeated ACH returns or suspected fraud may be restricted or terminated.

Eggz reserves the right to place holds, suspend accounts, or limit access to services in accordance with Dwolla’s risk policies and NACHA rules.

7. Third-Party Services

We integrate with third-party providers:

Alpaca Securities LLC for brokerage and securities execution
Plaid Inc. for bank account linking, identity, and balance verification
Dwolla Inc. for ACH transaction processing

By using our Services, you also agree to the respective terms and privacy policies of these providers.

All investment services are provided by Alpaca Securities LLC, a FINRA-registered broker-dealer and member of SIPC, and are governed by Alpaca’s Terms and Conditions and applicable account agreements. If any terms in these Terms of Use conflict with Alpaca’s agreements, those agreements will control for brokerage-related services.

We use Plaid Inc. (“Plaid”) to connect your Eggz account with your bank account. By using our Services, you grant Eggz and Plaid the right, power, and authority to access and transmit your personal and financial information from your financial institution. This data is collected directly by Plaid and is subject to Plaid’s End User Privacy Policy.

If you register for services that involve transferring funds via ACH, you must agree to the Dwolla Terms of Service and Privacy Policy. Your personal and financial information will be shared with Dwolla solely to facilitate your transactions. You authorize Eggz to create and manage a Dwolla account on your behalf for this purpose.

We also use third-party analytics tools, including Google Analytics, Google Tag Manager (GTM), and Microsoft Clarity, to understand how users interact with our Services. These tools may collect information such as browser type, pages visited, time spent on pages, and other traffic data. This information helps us improve our offerings and user experience. Data collected through these services is governed by their respective privacy policies.

8. Audit and Recordkeeping

To comply with financial regulations and our agreements with Dwolla and Alpaca, Eggz maintains complete records of all transactions, including deposits, withdrawals, transfers, contributions, and investment activity.

Transaction data may include amounts, dates, account details, funding sources, and status (completed, failed, or returned).
Records are retained for at least five (5) years and may be shared with Dwolla, Alpaca, regulators, auditors, or other authorized third parties as required by law or to protect the integrity of the platform.
By using the Services, you consent to Eggz maintaining and auditing these records for compliance, fraud prevention, and risk management purposes.

8. Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity associated with your account. Notify us immediately of any unauthorized use. You agree to indemnify and hold Eggz harmless for any losses or damages resulting from unauthorized or fraudulent use of your account.

9. Permitted and Prohibited Uses

You may use the Site and App solely for lawful, personal, and non-commercial purposes. You must not:

Engage in illegal activities (e.g., fraud, money laundering, harassment)
Circumvent or disable any security features
Access or use accounts of others without authorization
Upload or distribute harmful, offensive, or infringing content
Scrape, mine, or attempt to reverse engineer the platform
Use automated means to access the Services without permission

We reserve the right to suspend or terminate access for violations.

10. Intellectual Property

All content on the Site and App, including text, graphics, software, and trademarks, is owned by or licensed to Eggz. Users are granted a limited, non-exclusive, non-transferable license to use the Services for personal purposes. You may not copy, modify, or distribute any content without written permission.

By submitting or posting any materials, you grant Eggz a license to use, display, and distribute such content as necessary to provide the Services.

11. DMCA & Copyright Policy

If you believe your copyrighted work has been infringed, please notify us at support@myeggz.com

Include: Your signature, identification of the work, infringing material, contact info, and a statement of good faith.

12. Disclaimers

The Services are provided “as is” and “as available.” We do not guarantee uninterrupted or error-free service. Investing involves risk, including the potential loss of principal. We do not provide personalized financial advice.

ACH transactions facilitated through Dwolla may be subject to return, reversal, or delay. Eggz maintains complete transaction records and may place holds, suspend accounts, or limit access while transactions are reviewed for compliance, fraud, or audit purposes. Please see Section [6] (“ACH Returns and Negative Balances”) for additional terms governing negative balances and user responsibilities. Eggz and its payment partners reserve the right to place holds, suspend accounts, or limit access in the event of suspected fraud, insufficient funds, or compliance concerns.

13. Limitation of Liability

To the fullest extent permitted by law, Eggz is not liable for indirect, incidental, special, or consequential damages, or for any loss of profits or data arising from your use of the Services.

14. Indemnification

You agree to indemnify and hold harmless Eggz, its affiliates, officers, employees, and partners from any claims, liabilities, damages, or expenses arising from:

Your use or misuse of the Services
Violation of these Terms or applicable law
Infringement of intellectual property or other rights
Any content or materials you submit or share through the Services

15. Modifications

We may modify these Terms at any time. We may also update our compliance, audit, and recordkeeping practices (including the use of third-party monitoring tools) as our Services grow. We will notify you of material changes via email or the App. Continued use of the Services after changes means acceptance.

16. Termination

We may suspend or terminate your access to the Services at our discretion, with or without notice, including for violation of these Terms.

If your account is associated with repeated ACH return codes, unresolved negative balances, suspicious activity, or compliance concerns arising from our audit and recordkeeping processes, we may restrict, suspend, or terminate your access to payment, transfer, or investment features.

We may suspend or terminate your access to the Services at our discretion, with or without notice, including for violation of these Terms.

17. Privacy

Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and share your information.

18. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

19. Arbitration and Class Action Waiver

All disputes must be resolved through binding arbitration administered by JAMS in Orange, California under its Comprehensive Arbitration Rules. Each party pays its own legal fees unless the arbitrator awards otherwise. Claims must be brought individually—no class actions permitted.

If you open an Alpaca brokerage account, the pre-dispute arbitration clause in your Alpaca agreement supersedes this section for brokerage-related disputes.
