1. Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Oxbow Holdings, Inc., doing business as Eggz ("Eggz," "Company," "we," or "us"). By accessing or using our website located at https://www.myeggz.com ("Site"), mobile applications ("App"), and services ("Services"), you agree to these Terms, our Privacy Policy, and any additional terms applicable to specific features or services. If you do not agree, you must not access or use the Services.

If you are entering into these Terms on behalf of an entity, you represent that you are authorized to accept these Terms on its behalf.

PLEASE NOTE: THESE TERMS INCLUDE A MANDATORY ARBITRATION PROVISION AND CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS. READ SECTION 19 CAREFULLY.

2. Services Overview

Eggz is a personal investment platform with a social gifting component. Our Services allow users to:

Create and manage investment accounts
Receive monetary contributions from friends and family for specific events (e.g., birthdays)
Invest in U.S. securities through a brokerage account facilitated by Alpaca Securities LLC, a FINRA-registered broker-dealer and member of SIPC

3. Eligibility and Registration

You must be at least 18 years old, a U.S. resident, and legally able to enter into contracts. To access investment features, you must:

Create an account with Eggz
Complete identity verification via Alpaca, including submission of required KYC information
Agree to Alpaca's customer agreements

You must provide accurate and complete information and keep it up to date. If we determine that information you provide is false or misleading, we reserve the right to suspend or terminate your account. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

Joining a waitlist does not constitute the opening of an account or formation of a customer relationship.

4. Revenue Model

Our revenue model includes:

A flat monthly subscription fee (currently $7)
An advisory (AUM) fee of 0.50% per year

You are charged the greater of the monthly subscription fee or the monthly AUM fee — one fee per month, whichever is higher, not both. At lower balances the flat monthly fee is the higher figure and is what you pay; the AUM fee only exceeds it above a balance of roughly $16,800. Details are provided in our current fee schedule.

5. Contributions and Gifting

Eggz enables friends and family to make contributions to a user's account:

Contributions are treated as deposits into the investment account
Contributions are non-refundable once made
Contribution limits apply and are disclosed at the point of gifting; Eggz may adjust these limits, and may decline or limit a contribution, consistent with its risk and compliance controls
Users are solely responsible for understanding any tax implications of contributions received

6. Third-Party Services

We integrate with third-party providers:

Alpaca Securities LLC for brokerage and securities execution
Modern Treasury, Inc. for payment operations and FBO sub-ledgering
Cross River Bank for the deposit accounts used to hold contributed funds prior to investment
Stripe, Inc. for debit card and ACH pay-in processing

By using our Services, you also agree to the respective terms and privacy policies of these providers.

All investment services are provided by Alpaca Securities LLC, a FINRA-registered broker-dealer and member of SIPC, and are governed by Alpaca's Terms and Conditions and applicable account agreements. If any terms in these Terms of Use conflict with Alpaca's agreements, those agreements will control for brokerage-related services.

If you register for services that involve transferring funds via ACH, you must agree to the applicable terms of service and privacy policies of Modern Treasury and Cross River Bank. Your personal and financial information will be shared with these providers solely to facilitate your transactions. You authorize Eggz to create and manage accounts and sub-accounts with our payment partners on your behalf for this purpose.

We also use third-party analytics tools, including Google Analytics, Google Tag Manager (GTM), and Microsoft Clarity, to understand how users interact with our Services. These tools may collect information such as browser type, pages visited, time spent on pages, and other traffic data. This information helps us improve our offerings and user experience. Data collected through these services is governed by their respective privacy policies.

7. Audit and Recordkeeping

To comply with financial regulations and our agreements with our payment partners and Alpaca, Eggz maintains complete records of all transactions, including deposits, withdrawals, transfers, contributions, and investment activity.

Transaction data may include amounts, dates, account details, funding sources, and status (completed, failed, or returned).

Records are retained for at least five (5) years and may be shared with our payment partners, Alpaca, regulators, auditors, or other authorized third parties as required by law or to protect the integrity of the platform.

By using the Services, you consent to Eggz maintaining and auditing these records for compliance, fraud prevention, and risk management purposes.

8. Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity associated with your account. Notify us immediately of any unauthorized use. You agree to indemnify and hold Eggz harmless for any losses or damages resulting from unauthorized or fraudulent use of your account.

9. Permitted and Prohibited Uses

You may use the Site and App solely for lawful, personal, and non-commercial purposes. Contributions to your Eggz account are gifts into your personal investment account at Alpaca Securities — not donations to a third party.

You must not:

Engage in illegal activities (e.g., fraud, money laundering, harassment, terrorist financing, or sanctions evasion)
Use Eggz to solicit funds for, or pass funds through to, any third party
Misrepresent your identity, your circumstances, or the purpose of your Eggz page
Impersonate any person, or misrepresent your age, address, or eligibility
Circumvent or disable any security features
Access or use accounts of others without authorization
Upload or distribute harmful, offensive, or infringing content
Scrape, mine, or attempt to reverse engineer the platform
Use automated means to access the Services without permission

We reserve the right to review any Eggz page or account, request additional information, and suspend, restrict, or terminate access — or remove content — for any actual or suspected violation of these Terms, in our sole discretion.

10. Intellectual Property

All content on the Site and App, including text, graphics, software, and trademarks, is owned by or licensed to Eggz. Users are granted a limited, non-exclusive, non-transferable license to use the Services for personal purposes. You may not copy, modify, or distribute any content without written permission.

By submitting or posting any materials, you grant Eggz a license to use, display, and distribute such content as necessary to provide the Services.

If you believe your copyrighted work has been infringed, please notify us at support@myeggz.com

Include: Your signature, identification of the work, infringing material, contact info, and a statement of good faith.

12. Disclaimers

The Services are provided "as is" and "as available." We do not guarantee uninterrupted or error-free service. Investing involves risk, including the potential loss of principal. We do not provide personalized financial advice.

Payments facilitated through our payment partners may be subject to reversal or delay. Eggz maintains complete transaction records and may place holds, suspend accounts, or limit access while transactions are reviewed for compliance, fraud, or audit purposes. Eggz and its payment partners reserve the right to place holds, suspend accounts, or limit access consistent with their risk and compliance policies.

13. Limitation of Liability

To the fullest extent permitted by law, Eggz is not liable for indirect, incidental, special, or consequential damages, or for any loss of profits or data arising from your use of the Services.

14. Indemnification

You agree to indemnify and hold harmless Eggz, its affiliates, officers, employees, and partners from any claims, liabilities, damages, or expenses arising from:

Your use or misuse of the Services
Violation of these Terms or applicable law
Infringement of intellectual property or other rights
Any content or materials you submit or share through the Services

15. Modifications

We may modify these Terms at any time. We may also update our compliance, audit, and recordkeeping practices (including the use of third-party monitoring tools) as our Services grow. We will notify you of material changes via email or the App. Continued use of the Services after changes means acceptance.

16. Termination

We may suspend or terminate your access to the Services at our discretion, with or without notice, including for violation of these Terms.

If your account is associated with repeated ACH return codes, unresolved negative balances, suspicious activity, or compliance concerns arising from our audit and recordkeeping processes, we may restrict, suspend, or terminate your access to payment, transfer, or investment features.

17. Privacy

Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and share your information.

You agree that we may email you about your account and transactions. We may also send you news, tips, and reminders about using Eggz. You can unsubscribe from marketing email at any time using the link in each message.

18. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

19. Arbitration / Dispute Resolution

These Terms contain an arbitration clause, which requires that any dispute arising from or relating to the Services or these Terms and/or any related agreement between you and Eggz, its affiliates, directors, officers, agents, and owners ("Eggz Parties") be submitted to and decided by binding arbitration. By affirmatively confirming your consent to these Terms, the Eggz Parties and you agree as follows:

Except for individual complaints filed in small claims court consistent with the applicable jurisdictional limits, the sole and exclusive forum and remedy for resolution of any claims will be final and binding arbitration pursuant to this Section. All parties to these Terms are giving up the right to sue each other in court, including the right to a trial by jury, except as provided by the rules of the arbitration forum in which a claim is filed or otherwise in this Section. Arbitration awards are generally final and binding; a party's ability to have a court reverse or modify an arbitration award is very limited. The ability of the parties to obtain documents, witness statements and other discovery is generally more limited in arbitration than in court proceedings. The arbitrators do not have to explain the reason(s) for their award unless, in an eligible case, a joint request for an explained decision has been submitted by all parties to the panel at least twenty (20) days prior to the first scheduled hearing date. The panel of arbitrators may include a minority of arbitrators who were or are affiliated with the securities industry. The rules of some arbitration forums may impose time limits for bringing a claim in arbitration. In some cases, a claim that is ineligible for arbitration may be brought in court. The rules of the arbitration forum in which the claim is filed, and any amendments thereto, will be incorporated into these Terms.

All disputes between you and any and all Eggz Parties will be determined by binding arbitration through the American Arbitration Association (AAA) under its rules and procedures and, where appropriate, the then-current Supplementary Procedures for Consumer Related Disputes, as modified by this mandatory arbitration provision. 19.1. Waiver of Judicial Forum. You agree that this agreement to arbitrate constitutes a waiver of the right to seek a judicial forum unless such a waiver would be void under the federal securities laws.

19.2. Waiver of Class Action in Arbitration. No person shall bring a putative or certified class action to arbitration, nor seek to enforce any pre-dispute arbitration agreement against any person who has initiated in court a putative class action, or who is a member of a putative class who has not opted out of the class with respect to any claims encompassed by the putative class action until: (1) the class certification is denied; (2) the class is decertified; or (3) the customer is excluded from the class by the court. Such forbearance to enforce an agreement to arbitrate shall not constitute a waiver of any rights under these Terms except to the extent stated herein.

19.3. Entry of Arbitration Award. You and the Eggz Parties acknowledge that judgment on any arbitration award may be entered in any court of competent jurisdiction.

19.4. Location and Costs of Arbitration. The parties may agree to conduct arbitration by teleconference, videoconference, or otherwise, and any in-person arbitration hearing will take place in Boston, Massachusetts. The merits of the dispute shall be resolved in accordance with the laws of the State of Delaware, USA, without reference to its conflict of laws rules, choice of laws rules, or any other principles that would result in the application of a different body of law. Except for a dispute determined by the arbitrator to be frivolous or initiated in bad faith, the applicable Eggz Party will pay all filing fees and reimburse you for documented expenses up to a total amount of $2,000, and waives any rights it may have to recover an award of attorneys' fees and expenses against you.

19.5. Brokerage-Related Claims. If you open an Alpaca brokerage account, the pre-dispute arbitration clause in your Alpaca agreement supersedes this section for brokerage-related disputes.

19.6. Survival. The parties' rights and obligations under this Section 19 shall survive the end of the relationship between you and the Eggz Parties, including any cancellation or termination of these Terms, and shall remain in effect until the expiration of all applicable statutes of limitations.

20. Complaints

If you have a complaint about our Services, please contact us at support@myeggz.com. We will acknowledge your complaint within 5 business days and aim to resolve it within 30 business days. If we need more time, we will notify you of the reason for the delay and provide an estimated resolution date. You may also contact the SEC at https://www.sec.gov/contact-information/sec-directory if you are not satisfied with our response.
